1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the website and online store operated by GREATWILL SOURCING (HK) LTD("we", "us", "our"), trading as Greatwill. By accessing our website, creating an account, or placing an order, you agree to these Terms and our Privacy Policy. If you do not agree, do not use our services.

We may amend these Terms by posting an updated version on this page. Material changes may be highlighted where required by law. Continued use after changes constitutes acceptance, subject to your non-excludable rights under Hong Kong law.

2. Governing Law and Jurisdiction

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Hong Kong, without prejudice to your statutory rights. Nothing herein excludes or limits liability where exclusion or limitation is not permitted under the Control of Exemption Clauses Ordinance (Cap. 71), the Sale of Goods Ordinance (Cap. 26), the Trade Descriptions Ordinance (Cap. 362), the Electronic Transactions Ordinance (Cap. 553), the Personal Data (Privacy) Ordinance (Cap. 486), or other applicable legislation.

3. Eligibility and Account Security

You must be at least 18 years old and have legal capacity to contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorised use.

We may suspend or terminate accounts that breach these Terms, engage in fraud, or pose security risks. Security verification (such as Cloudflare Turnstile) may be required for login, registration, contact submissions, or password reset.

4. Electronic Transactions and Contract Formation (Cap. 553)

Our ordering process operates electronically. Under the Electronic Transactions Ordinance (Cap. 553), electronic records and signatures may have equivalent legal effect where reliable and appropriate. Your order is an offer to purchase. A binding contract is formed only when we accept your order (e.g. by order confirmation email or dispatch). We may refuse or cancel orders for stock unavailability, pricing errors, suspected fraud, or breach of these Terms.

5. Products, Descriptions and Pricing (Cap. 362)

We strive for accurate descriptions, images, and pricing and do not make false or misleading trade descriptions under the Trade Descriptions Ordinance (Cap. 362). Colours and textures may vary due to photography, screens, or natural materials.

• Prices are shown in the currency stated at checkout unless otherwise indicated.
• We may correct errors and adjust prices before order acceptance.
• We may limit quantities per customer or order.
• Products may be discontinued without prior notice.

Taxes, duties, and shipping costs will be displayed at checkout where applicable.

6. Payment

Payment must be made through methods displayed at checkout. You represent that you are authorised to use the payment method provided. Payments may be processed by third-party providers (e.g. Stripe); their terms and privacy policies apply to payment data they process directly.

We are not liable for delays or failures caused by your bank, card issuer, or payment provider. If payment fails or is reversed, we may cancel the order.

7. Delivery and Risk

Delivery times and costs are as shown at checkout. We use reasonable endeavours to meet estimates but are not liable for delays due to carriers, customs, weather, force majeure, or events beyond our reasonable control.

You must provide accurate delivery details. Risk in goods passes to you upon delivery to your address (or to a carrier where agreed). Title passes when we receive full cleared payment. Statutory implied terms under the Sale of Goods Ordinance (Cap. 26) apply to consumer purchases where applicable.

8. Returns, Refunds and Consumer Rights

Unless otherwise stated for a specific product, unworn items in original packaging with tags attached may be returned within 30 days of delivery, subject to our returns process. Contact us at coco@gwshk.com for return authorisation. Return shipping is generally your responsibility unless the return is due to our error or a defective product.

Approved refunds are processed to the original payment method within a reasonable period, typically within 14 business days of receiving the returned goods.

Nothing in these Terms affects your statutory rights as a consumer under Hong Kong law, including rights relating to satisfactory quality, fitness for purpose, correspondence with description, and the unenforceability of unreasonable exemption clauses under Cap. 71. You may seek guidance from the Consumer Council.

9. Intellectual Property

All website content (text, images, logos, designs, software) is owned by us or our licensors and protected by copyright, trade mark, and other laws of Hong Kong and applicable jurisdictions. You may not reproduce, distribute, or modify content without our prior written consent, except as permitted by law (e.g. fair dealing for private study).

10. Prohibited Conduct

You must not use our website to violate any law, infringe rights, upload malware, interfere with systems, harvest data unlawfully, commit fraud, or impersonate others. We may report misconduct to authorities and pursue remedies.

11. Limitation of Liability (Cap. 71)

To the fullest extent permitted by Hong Kong law, we are not liable for indirect, incidental, special, or consequential losses (including loss of profits or data) arising from use of our website or products, except where such exclusion is not permitted.

We do not exclude or limit liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, or any matter where exclusion is prohibited by Cap. 71 or other law.

Where liability may be limited, our aggregate liability for claims relating to an order shall not exceed the amount you paid for the relevant product(s) in the twelve (12) months before the claim, unless a higher amount is required by law.

12. Indemnity

You agree to indemnify us against claims, losses, and reasonable costs arising from your breach of these Terms, misuse of the website, or violation of law or third-party rights, except where the claim arises from our breach or negligence.

13. Privacy

Your personal data is processed in accordance with our Privacy Policy and the PDPO. By using our services, you acknowledge such processing as described there.

14. General

If any provision is invalid, the remainder continues in effect. Failure to enforce a right is not a waiver. These Terms, the Privacy Policy, and policies referenced herein constitute the entire agreement regarding the website and online store.

We may assign our rights and obligations to a successor. You may not assign without our written consent.
